Terms of Service

These Terms of Service ("Terms") govern your access to and use of PanelDesk, a workshop management system operated by Sam Fourie ("we", "us", "our"), based in South Africa.

By creating an account or using PanelDesk, you agree to these Terms.

1. Definitions

  • "Service" refers to the PanelDesk platform, including quotes, job cards, final costing, invoices, and all related features.
  • "Workshop", "you", "your" refers to the business or individual using the Service.
  • "Founding Workshops" refers to the first 10 workshops who join PanelDesk and receive the founding discount.

2. Eligibility

To use PanelDesk, you must:

  • Be 18 years or older
  • Use the platform for a legitimate business purpose
  • Provide accurate account information

We reserve the right to decline access at our discretion.

3. Accounts & Authentication

Authentication is handled by Firebase Authentication.

You are responsible for:

  • Keeping your login details private
  • Any activity performed under your account
  • Notifying us immediately if your account is compromised

We may suspend access if we detect suspicious activity.

4. Billing, Pricing & Subscription Terms

4.1 Billing Currency

All subscription fees are billed in South African Rand (ZAR).

4.2 Subscription Model

PanelDesk operates on a monthly subscription, billed in advance.

The current Starter plan cost is R950 per month, excluding VAT. We may adjust pricing with notice.

If PanelDesk becomes VAT registered, VAT will be added to subscription fees at the prevailing rate.

Price changes do not affect already-active founding discounts.

4.3 Founding Offer

The following applies only to the first 10 workshops:

  • 50% discount for the first 12 months
  • Discount applies only to the Starter plan
  • After 12 months, pricing returns to the standard rate
  • Discounts are applied automatically during billing
  • Discount eligibility is tied to the original account and start date

Founding workshops must maintain an active subscription for the discount to remain valid.

The 12-month period starts from the first time the account is activated. Cancelling and returning later does not restart the 12 months, and the discount cannot be moved to another account.

4.4 Cancellation

You may cancel your subscription at any time.

Cancellation takes effect at the end of your current billing cycle. Future invoices will not be charged.

5. Trial & Refund Policy

5.1 30-day trial

PanelDesk provides a 30-day trial period so you can evaluate the Service before paying a subscription.

To verify your card, a R1 authorisation charge may be processed and immediately reversed.

5.2 No refunds

Except where required by law, all fees are non-refundable. The trial period is provided in place of refund guarantees.

6. Use of the Service

You agree to use PanelDesk responsibly and not to:

  • Attempt to reverse engineer or copy the platform
  • Exploit or misuse the system
  • Upload unlawful, offensive, or harmful content
  • Interfere with the system’s functioning

We reserve the right to suspend or terminate accounts for misuse.

7. Data Ownership & Restrictions

7.1 Your Data

All workshop data entered into PanelDesk — including quotes, job cards, invoices, customer details, and any uploaded assets — belongs to your workshop.

PanelDesk acts as a data processor only.

7.2 Data Export

At this stage, PanelDesk does not offer automated data export functionality. Workshops may request reasonable assistance with data access at our discretion.

We may introduce export functionality in the future.

7.3 Data Storage

We store and process data using reputable third-party infrastructure providers and apply reasonable security practices. No system is completely risk-free.

7.4 POPIA

PanelDesk processes personal information in accordance with the Protection of Personal Information Act (POPIA). Workshops are responsible for ensuring they have lawful grounds to collect and process customer data entered into the Service.

8. Payment Processing

Payments are handled by Paystack, a secure PCI-DSS compliant payment processor.

We do not store or process credit card numbers. All payment details are handled directly by Paystack.

9. Liability & Disclaimer

PanelDesk is provided "as is". We are not liable for:

  • Incorrect quotes
  • Missed job details
  • Final costing errors
  • Lost revenue
  • Financial losses
  • Operational mistakes made by workshop staff
  • Losses caused by downtime, bugs, or system issues
  • Tax, compliance, or reporting errors made by your workshop

Workshops use PanelDesk at their own risk. We will always aim to resolve issues quickly and effectively — but this does not imply legal liability.

To the maximum extent permitted by law, PanelDesk’s total liability for any claim arising out of or relating to the Service shall not exceed the total fees paid by the workshop in the three (3) months preceding the claim.

10. Force Majeure

PanelDesk shall not be liable for failure or delay in performance caused by events beyond reasonable control, including but not limited to acts of God, power outages, internet failures, third-party service outages, or government actions.

11. Uptime

We do not guarantee uninterrupted uptime.

We aim for high availability, but outages, maintenance, internet issues or cloud provider downtime may occur. No compensation is provided for downtime.

12. Termination & Suspension

We may suspend or terminate accounts for:

  • Non-payment
  • Fraudulent activity
  • Abuse of the system
  • Security concerns
  • Violation of these Terms

Workshops may cancel at any time through their account settings or by contacting us.

Upon termination, access to the Service and stored data may be deleted after a reasonable period, subject to legal or regulatory retention requirements.

Founding workshops may receive access to direct founder communication (including WhatsApp) at our discretion.

No guaranteed response times are offered, but we will make reasonable efforts to respond promptly.

14. Changes to the Service or Terms

We may modify PanelDesk or update these Terms at any time. When changes are made, we will update the "Last Updated" date above.

Continued use of PanelDesk indicates acceptance of any updated Terms.

15. Governing Law

These Terms are governed by the laws of South Africa. Any disputes shall be resolved in South African courts.
